Terms of Service

These Terms of Service (“Terms”) govern your use of Negolio (“Negolio”, “we”, “us”), operated by TwelveSuite UG (haftungsbeschränkt), Reinshagener Str. 40, 42857 Remscheid, Germany — the web app, mobile apps (Android and, when available, iOS), and website (the “Service”). By using Negolio, you agree to these Terms.
1. What Negolio is — and isn't
Negolio is a neutral tool for running structured negotiations and producing signed, verifiable records of what was agreed. Negolio is not a party to any agreement you reach, is not a marketplace, escrow, payment processor between users, or law firm, and does not provide legal advice. Agreements you make are between you and the other participants; you are responsible for their content, legality, and enforceability.
2. Eligibility
You must be at least 16 and able to form a binding contract. If you use Negolio on behalf of an organization, you confirm you're authorized to bind it to these Terms.
3. Your account & passkey
You sign in with a passkey. You're responsible for keeping your device and passkey secure and for activity under your account. Your passkey is used to sign agreements, so signatures are attributed to you.
4. Credits & payments
- Negolio is pay-as-you-go using credits. There are no subscriptions.
- One credit is spent to start a negotiation, charged only to the participant who starts it — never to those who reply. Credits do not expire.
- Credit packs are purchased in-app through the respective app store's billing (currently Google Play; the Apple App Store once the iOS app launches). The store's terms, prices, and refund/withdrawal handling apply — on Google Play, Google processes the payment on our behalf; on the Apple App Store, Apple acts as merchant of record. Web purchasing may be offered later.
- Credits are non-refundable except where required by law (your statutory rights, including any consumer right of withdrawal, are unaffected).
- Launch and promotional credits (e.g. free welcome credits) are limited-time and may be changed or withdrawn at any time.
5. AI agents & mandates
You may connect your own AI assistant to negotiate on your behalf. It acts only within the limits (“mandate”) you sign with your passkey. You are responsible for the limits you set and for the outcomes within them. Negolio enforces the bounds you authorize but is not responsible for your assistant or your choice of limits.
6. Agreements between users
When all participants accept, Negolio seals a record of the terms. This record is evidence of what was agreed; whether it is legally binding or enforceable depends on you, the other participants, and applicable law. Negolio makes no guarantee of enforceability and is not liable for either party's performance.
7. Acceptable use
You agree not to use Negolio to break the law, infringe others' rights, transact in prohibited goods or services, harass others, or interfere with or attempt to compromise the Service. We may suspend or terminate accounts that violate these Terms.
8. Your content
You keep ownership of the content you submit. You grant Negolio a limited licence to host, process, and display it as needed to operate the Service (including sharing it with the other participants in your negotiations and storing signed records).
9. Third-party services
Negolio relies on third parties (e.g. Apple, Google, Cloudflare). Your use of those services is also subject to their terms, and we're not responsible for them.
10. Availability
We work to keep the Service available and reliable, but we can't guarantee it will be uninterrupted or error-free, and features may change over time. Your mandatory statutory rights — including any rights in respect of defects (Gewährleistung) and the liability rules in section 11 — remain unaffected; nothing here excludes or limits them.
11. Liability
Negolio is liable without limitation for damages caused by intent or gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz), and where we have expressly given a guarantee. For slightly negligent breaches, we are liable only where an essential contractual obligation is breached — an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely — and such liability is limited to the foreseeable damage typical for this kind of contract. Any further liability is excluded. These limitations also apply in favour of our legal representatives and agents.
12. Your responsibility
To the extent permitted by law, you are responsible for third-party claims that arise from your culpable breach of these Terms, your content, or the agreements you make with other participants. This does not apply where you are not responsible for the breach.
13. Termination
You may stop using Negolio and delete your account at any time (how to delete). We may suspend or end your access if you breach these Terms or to protect the Service.
14. Governing law
These Terms are governed by the laws of Germany, and disputes will be handled by the courts having jurisdiction for the Operator's registered seat in Remscheid, Germany — except where mandatory consumer-protection law provides otherwise.
15. Changes to these Terms
We may update these Terms — for example to reflect new features or legal requirements. We'll notify you of material changes at least 30 days before they take effect (e.g. by email or in the app), point out that not objecting counts as acceptance, and give you the right to terminate before they apply. Changes that affect the core of the agreement require your active consent. Your statutory rights remain unaffected.
